Resumo
O presente Trabalho trata do contrato de mútuo conversível, utilizado como ferramenta de investimento em startups. Inicialmente, foi analisado o contexto geral das startups: suas origens, cenário mundial, repercussão no Brasil, até chegar na Lei Complementar n. 182/2021. O Marco Legal das Startups, como é conhecida tal lei, trouxe um rol exemplificativo de modalidades de investimento em startups, no qual encontramos o contrato de mútuo conversível. Foi demonstrado como o mútuo conversível oferece benefícios a investidores, por ser um contrato bem flexível, podendo ser adaptado conforme a situação e as vontades das partes, bastando moldar os termos e as condições que regerão o contrato. Nesse sentido, foram apresentadas sugestões de cláusulas que são recomendadas estarem presentes para mitigação de riscos e segurança de ambas as partes. Destacamos, então, a necessidade de ser elaborado um contrato de maneira clara, focado no desenvolvimento dos negócios e na busca por inovação.
This paper addresses the convertible loan agreement, used as an investment method in startups. Initially, it was analyzed the general context of startups: their origins, global scenario, their impact in Brazil, leading to Supplementary Law No. 182/2021. The Startup’s Legal Landmark, as this law is known, presented an exemplary catalogue of investment modalities in startups, among which it is possible to find the convertible loan agreement. It was demonstrated how the convertible loan offers benefits to investors, as it is a highly flexible agreement that can be adapted to the situation and the desires of the parties involved by simply shaping the terms and conditions that will rule the agreement. Therefore, suggestions for clauses that are recommended to be included to mitigate risks and ensure the security of both parties were presented. Regarding that, it was emphasized the need to create a contract in a clear manner, focused on business development and the pursuit of innovation.
