Este trabalho de conclusão de curso, aborda o instituto da recuperação judicial de empresas no
Brasil, trazido pela Lei 11.101/2005, no que tange à sua aplicabilidade nas recém surgidas
Sociedades Anônimas de Futebol, advindas da Lei 14.193/2021. Faz-se anteriormente, uma
abordagem histórica do Direito Falimentar tanto no país quanto no mundo, com seus principais
aspectos e o surgimento de mecanismos relevantes para a evolução deste âmbito. Diante do
instituto da recuperação judicial já consolidado, aborda-se o seu surgimento no ordenamento
jurídico pátrio, por meio da Lei 11.101/2005, bem como suas alterações trazidas pela Lei
14.112/2020. Estuda-se a Lei 14.193/2021, que institui a Sociedade Anônima de Futebol, os
aspectos da referida pessoa jurídica de direito privado, seu modelo administrativo e regime
tributário que a comporta. Partindo da firmação deste conhecimento, observa-se, o fenômeno
das recentes transformações de Clubes de Futebol Associativos em Clubes-Empresa, buscando
entender, diante de um cenário desfavorável financeiramente para o futebol brasileiro, como
estas transformações podem fomentar a competitividade e trazer mais valor ao esporte de maior
prestígio nacional. Contempla-se, com a transformação dos clubes, em uma estrutura
empresarial, a aplicabilidade da Lei de Recuperação de Empresas e Falências, com a finalidade
de reinserir esses clubes ao mercado. Exemplifica-se trazendo o modelo de negócios e a
transformação do Figueirense Futebol Clube em Sociedade Anônima de Futebol, bem como
sua recuperação extrajudicial, considerando as movimentações e reflexos que essas mudanças
trouxeram ao clube catarinense. Conclui-se o presente trabalho, abordando os desafios a serem
enfrentados dentro e fora dos clubes, analisando diante dessa movimentação dos clubes, como
o futebol e a indústria futebolística poderão reagir.
This course conclusion work addresses the institute of judicial reorganization of companies in Brazil, brought by Law 11.101/2005, regarding its applicability in the recently emerged Football Societies, arising from Law 14.193/2021. Previously, a historical approach to Bankruptcy Law both in the country and in the world, with its main aspects and the emergence of relevant mechanisms for the evolution of this scope. In view of the already consolidated judicial reorganization institute, its emergence in the national legal system is addressed, through Law 11.101/2005, as well as its changes brought by Law 14.112/2020. Law 14.193/2021, which establishes the Football Societies, is studied, as well as aspects of the legal entity of private law, its administrative model and the tax regime that includes it. Starting from the establishment of this knowledge, the phenomenon of recent transformations of Associative Football Clubs into Company-Clubs is observed, seeking to understand, in the face of a financially unfavorable scenario for Brazilian football, how these transformations can foster competitiveness and bring more value. to the most prestigious national sport. With the transformation of clubs into a business structure, the applicability of the Law on Corporate Recovery and Bankruptcy is contemplated, with the aim of reinserting these clubs into the market. It is exemplified by bringing the business model and the transformation of Figueirense Futebol Clube into an Anonymous Football Society, as well as its extrajudicial recovery, considering the movements and reflexes that these changes brought to the Santa Catarina club. The present work is concluded, addressing the challenges to be faced inside and outside the clubs, analyzing in the face of this movement of clubs, how football and the football industry can react.
