Recuperação judicial de grupos econômicos: consolidação processual e substancial

Na atual conjuntura social e econômica, é comum o surgimento dos chamados
grupos econômicos. Além disso, vêm se tornando cada vez mais recorrente pedidos de
recuperação judicial justamente por esses grupos. Essa modalidade de organização
plurissocietária encontra previsão na Lei das Sociedades Anônimas (Lei nº 6.404/1976),
responsável por representar um grande avanço ao reservar os capítulos XX e XXI para o
agrupamento de sociedades. Por outro lado, a Lei de Recuperação de Judicial e Falências (Lei
nº 11.101/2005), nada prevê acerca dos grupos econômicos e de sua inclusão no polo ativo da
recuperação judicial. Com a inclusão de grupos econômicos no polo ativo da recuperação
judicial, há a Consolidação Processual e, dependendo do caso, a Consolidação Substancial.
Diante da inércia legislativa quanto ao assunto, fica à cargo da jurisprudência e doutrina a
análise acerca da concessão da consolidação. A discussão referente à consolidação se mostra
importante sobretudo ao credor do processo recuperacional que, dependendo de sua situação,
pode ser prejudicado ou beneficiado. Os credores, por sua vez, são atores extremamente
relevantes na recuperação judicial, senão os mais interessados no processo. Parece justo,
portanto, conceder a esses atores o poder de decidir acerca dos institutos da consolidação. O
presente trabalho, busca, portanto, realizar uma análise detalhada do processo de recuperação
judicial requerida, conjuntamente, por empresas integrantes de grupos econômicos, bem como
suas principais implicações: a Consolidação Processual e Substancial. Ainda, será demonstrada
a importância que a consolidação possui para os credores, que, por sua vez, possuem papel
decisivo em se tratando da concessão da consolidação.
In the current social and economic situation, the emergence of so-called economic groups is common. In addition, requests for Judicial Reorganization proceedings are becoming more recurrent by these groups. This type of multi-company organization is provided for in the Corporations Law (Law no. 6,404/1976), which is responsible for representing a great advance by reserving chapters XX and XXI for the grouping of companies. On the other hand, the Judicial Reorganization and Bankruptcy Law (Law no. 11.101/2005), does not foresee anything about the economic groups and their inclusion on the active pole of Judicial Reorganization proceedings. With the inclusion of economic groups in the active pole of judicial reorganization, there is the Procedural Consolidation and, depending on the case, the Substantial Consolidation. In view of the legislative inertia on the subject, it is up to the jurisprudence and doctrine to analyze the granting of consolidation. The discussion regarding the consolidation is important above all to the creditor of the recovery process who, depending on his situation, may be harmed or benefited. Creditors, in turn, are extremely relevant players in Judicial Reorganization proceeding, if not the most interested in the process. It seems fair, therefore, to grant these actors the power to decide about the consolidation institutes. The present research seeks to perform a detailed analysis of the Judicial Reorganization proceeding jointly required by companies belonging to economic groups, as well as its main implications: the Procedural and Substantial Consolidation. It will also demonstrate the importance of the consolidation for creditors, who have a decisive role in granting the consolidation.
