Na sociedade hodierna é incontroverso que o futebol representa, independentemente
do nível de classe social, importante forma de entretenimento e expressivo traço sociocultural
em nosso país, constituindo, em razão desse alcance, relevante atividade econômica – diga-se,
ainda em pleno aperfeiçoamento.
Após longo período de desenvolvimento embrionário em que se buscou, sobretudo, a
estruturação de um modelo de gestão pautado em excelência, as atividades desempenhadas
pelos clubes de futebol (até então, associações desportivas) vêm passando por um processo de
profissionalização - seja em decorrência de planejamentos inovadores propostos pelos gestores
executivos, seja pela necessidade de alcançar condições financeiras de sobrevivência.
Com efeito, tem-se que tais associações desportivas se aproximaram, por força do
cenário supracitado, do conceito de empresa. Posto isso, discute-se no presente estudo os
principais aspectos relacionados às associações desportivas no direito brasileiro.
Nessa esteira, serão abordadas as questões relevantes ao modelo de clube-empresa,
destacando-se os aspectos concernentes à sua aplicabilidade no Brasil e analisando-se, para
tanto, as experiências desenvolvidas em outros países, bem como aproveitando o debate que já
vem sendo levantado internamente nos clubes nacionais e externamente no âmbito legislativo.
Por fim, este trabalho fará uma breve análise do Projeto de Lei que visa disciplinar a
constituição da Sociedade Anônima do Futebol (SAF) no Brasil, levantando pontos positivos e
apresentando críticas em relação aos termos contidos no referido projeto, considerando,
especialmente, as consequências sofridas nos períodos cíclicos de crise, que historicamente se
fazem presentes no cenário global.
In today’s society, it’s uncontroversial that soccer represents, regardless one’s stratum or purchasing power, an important form of entertainment and a significant sociocultural characteristic of our country, building, thus, a relevant economic activity in full improvement, we should say. After a long time of embrionary development, in which it was sought, above all, the structuration of a management model ruled by excellence, the activities performed by soccer teams (considered sportive associations until then) have been through a process of professionalization, whether because of innovative planning suggested by executive managers or because of the need of reaching survival financial conditions Consequently, it appears that such associations have come close, in light of the above, to a concept of a company. That being said, the present study will discuss the main aspects related to the sportive associations in Brazilian Law, including the most important topics of business law. Going this way, relevant matters regarding the team-business model will be approached, then, highlighting the aspects of its applicability in Brazil, analyzing, for that, experiences developed in other countries; also, it will take part in the discussion currently being developed among national soccer teams, and, still in light of the above, legislative matters will be approached. At last, this work will make a brief analysis of the bill created to discipline the constitution of the “soccer joint-stock company” (SAF) in Brazil, presenting criticism and positive topics regarding the terms of the mentioned bill, considering, especially, the consequences that came with the cyclic periods of crisis, which are part of the history of the global scenario.
