O presente trabalho de conclusão de curso possui o primordial objetivo de analisar as particularidades, características e consequências processuais da extinção de sociedade limitada no curso do processo. A prática jurídica demonstra não ser incomum a existência de demandas em que, ou o polo ativo, ou o polo passivo, é preenchido por sociedade limitada que, posteriormente ao início da ação, é extinta. Assim, o presente artigo visa analisar todas as hipóteses de dissolução (e extinção) da sociedade limitada, apresentadas no Código Civil e em leis esparsas, com o intuito de constatar se há – ou não - a perda de sua personalidade jurídica e sua consequente ausência de capacidade de ser parte. Posteriormente, investigar-se-á a possibilidade de instauração de incidente de desconsideração da personalidade jurídica em face da sociedade já extinta. Do mesmo modo, diante da ausência de norma processual reguladora sobre o tema, seja no Código de Processo Civil, seja em qualquer outra lei, será necessário o exame de como a lacuna legislativa será sanada, levando-se em conta a Lei de Introdução às Normas do Direito Brasileiro. Em seguida, após a elucidação das questões anteriormente apresentadas, explorar-se-á todas as hipóteses e consequências processuais encontradas, bem como todas as suas variantes. Finalmente, com o objetivo de fundamentar as respostas encontradas, será necessária a análise de diversos julgados do E. Tribunal de Justiça do Estado de São Paulo e do C. Superior Tribunal de Justiça.
The present final paper has the objective of analyzing the particularities, characteristics and procedural consequences of the extinction of a limited liability company in the course of any process. Legal practice shows that it is not uncommon the existence of claims in which either the active pole, or the passive pole, is filled by a limited company that, after the commencement of the action, is extinguished. Thus, the present article aims to analyze all of the hypotheses of dissolution (and extinction) of the limited company, presented in the Civil 5 Code and in sparse laws, in order to ascertain whether or not there is a loss of their legal personality and, consequently, the lack of their ability to be party. Subsequently, the possibility of disposing a procedural issue of disregard of corporate entity in face of the extinguished company will be investigated. Similarly, in view of the absence of regulatory procedural rule on the subject, whether in the Code of Civil Procedure or in any other law, it will be necessary to review how the legislative gap will be remedied, taking into account the Law of Introduction to the Norms of Brazilian Law. Then, after the clarification of the questions presented above, all the hypotheses and procedural consequences encountered, as well as all their variants, will be explored. Finally, in order to support the answers found, it will be necessary to analyze several judgments of the Court of Justice of the State of Sao Paulo and the Superior Court of Justice.
