Resumo
This study aims to examine the so-called "boilerplate clauses" in the English legal jargon, which could be freely translated as standard clauses, broadly found in a variety of contracts originated from the Common Law system, particularly, in arrangements for financial transactions governed by Law of the State of New York. These clauses, already incorporated in the international contract universe, have such a wide dissemination that their influence can be verified even in the instruments used in the internal legal environment of jurisdictions affiliated to the Roman-Germanic system, as is the case with Brazilian law. The proposed research will be developed in order to identify, understand and bring to the academic debate the hidden risks under the scope of such standardization.
