O presente estudo tem como principal foco refletir sobre a aplicabilidade da
cláusula de sandbagging, exportada do direito americano, frente ao princípio da boa-fé
objetiva e autonomia privada das partes contratantes. O objetivo geral é identificar os
potenciais impactos de uma cláusula exportada do commom law sobre a perspectiva do direito
brasileiro e seus princípios. Dessa forma, o estudo foi dividido da seguinte maneira: um breve
panorama dos contratos de compra e venda de participação societária, conceituar as clausulas
de declaração e garantia, bem como, apresentar o conceito e origem da do termo sandbagging
e assim conceituar as duas possíveis formas – pro-sandbagging e anti-sandbagging – por fim,
coube discutir sobre a potencialidade dessa cláusula ferir o princípio da boa-fé objetiva dos
contratos, além de discutir sobre a autonomia privada frente a essas cláusulas. No direito
americano essas cláusulas já são utilizadas a mais tempo, contudo, é um mecanismo
relativamente novo no direito brasileiro que eventualmente poderá encontrar óbice na boa-fé
objetiva, dessa forma, o presente estudo visou elucidar os contrapontos da cláusula de
sandbagging ao permitir que a parte a utilize como “carta na manga” para eventual
indenização contratual após o fechamento do negócio e, por outro lado haja o princípio da
autonomia privada que valida a cláusula de sandbagging.
The main focus of this study is to reflect on the applicability of the sandbagging clause, exported from American law, in relation to the principle of good faith and the private autonomy of the contracting parties. The general objective is to identify the potential impacts of a clause exported from common law from the perspective of Brazilian law and its principles. Thus, the study was divided as follows: a brief overview of contracts for the purchase and sale of shareholdings, a conceptualization of representations and warranties clauses, as well as a presentation of the concept and origin of the term sandbagging and a conceptualization of the two possible forms - pro-sandbagging and anti-sandbagging - finally, it was necessary to discuss the potential for this clause to violate the principle of good faith in contracts, as well as discussing private autonomy in relation to these clauses. In American law, these clauses have been used for a long time, however, it is a relatively new mechanism in Brazilian law that may eventually find an obstacle in good faith, thus, this study aimed to elucidate the counterpoints of the sandbagging clause by allowing the party to use it as a “card up their sleeve” for possible contractual indemnity after the closing of the deal and, on the other hand, there is the principle of private autonomy that validates the sandbagging clause.
