Resumo
O presente trabalho tem por objetivo apresentar os elementos teóricos dos deveres fiduciários e responsabilidade dos membros do conselho de administração de companhias abertas, bem como sua aplicação prática nas operações de combinação de negócios. O tema é relevante haja vista o aumento na ocorrência de operações societárias dessa natureza no mercado de capitais brasileiro e a consequente necessidade de analisar os requisitos legais à luz das especificidades nos casos concretos de combinação de negócios. Foram analisados dispositivos legais do ordenamento jurídico brasileiro, jurisprudência da Comissão de Valores Mobiliários (CVM), assim como posições doutrinárias sobre a matéria. Buscou-se expor as especificidades nas obrigações das operações de combinação de negócios, assim como análise do meio de incorporação de ações utilizada comumente. Ao final, por meio da análise de um caso prático são expostas as condutas esperadas dos membros do conselho de administração tendo em vista suas responsabilidades legais constantes na Lei das S.A. e nas instruções da CVM, conforme aplicável, e formas de mitigar os riscos aos quais a administração é exposta no exercício da sua função e da defesa do interesse social.
This paper aims to present the theoretical elements of fiduciary duties and responsibility of members of the board of directors of publicly-held companies, and their practical application in the concrete cases of business combination operations. The issue is relevant, given the increase in the number of these operations, and the need to analyze legal requirements in light of the specifics of the business combination. Legal provisions of the Brazilian legal system, jurisprudence of the Brazilian Securities and Exchanges Commission (CVM), as well as doctrinal positions on the matter were analyzed. We sought to expose the specifics in the obligations of business combination operations, as well as an analysis of the means of incorporation of shares commonly used. At the end, through the analysis of a practical case, the expected conducts of the members of the board of directors, in view of its legal responsibilities under the Brazilian Corporations Law and the CVM instructions, as applicable, and ways to mitigate the risks that the administration is exposed in the exercise of its function and the defense of the social interest are exposed.
